1. Who you're agreeing with

These terms govern your use of designedbyanthony.online, designedbyanthony.com, vertaflow.io, and any related properties operated by ANTHONY × VertaFlow, the umbrella brand for a sole proprietorship of Anthony Jones in Rome, NY, USA.

By using any of these sites, you agree to these terms. If you don't agree, don't use the sites.

2. What the sites are

designedbyanthony.online — the umbrella's marketing front + free tools store.
designedbyanthony.com — the studio side: custom websites, local SEO, managed hosting, free site checkup.
vertaflow.io — the CRM side: lead capture, review automation, client portal, e-signing, payments. Paid product, free trial available.

3. Geographic scope

We serve clients in the United States and Canada. Visitors from the EU, UK, EEA, and Switzerland are blocked at the Cloudflare edge.

4. Free checkups and free tools

The free site checkup and the free tools page (/tools) are provided as-is with no warranty. We do not guarantee:

That the Google speed scores are exact (the scores can change a bit from one run to the next)
That implementing the recommendations will improve any business outcome
That the tools are always up and running

Use of a free tool constitutes consent for us to scan the URL you submit, store the result against your email for the retention window listed in the Privacy Policy, and email you a copy of the report when applicable.

5. Paid services and engagements

Use of these sites does not create a client relationship until a written agreement is signed (via our electronic signing flow or a paper contract). All paid engagements are governed by that signed agreement, which controls in case of conflict with these terms.

Scope of work, payment milestones, deliverables, and revision limits are defined per signed engagement. Out-of-scope changes are billed at the rate stated in your engagement (typical: $150/hr) or via a written change order.

6. Payment

One-time fees (custom builds): due per the signed engagement. For 50/50-structured fees, 50% is due on signing and the remaining 50% is due on your written sign-off of the live preview.
Subscriptions (SEO retainer, VertaFlow CRM, multi-site agency plans): billed monthly via Stripe, no long-term commitment, cancellable any time with cancellation effective at the end of the current billing period.
Refunds: For 50/50 builds, the deposit is fully refundable in writing until you approve the initial design preview, at which point it becomes non-refundable. No refunds for completed deliverables after live-preview sign-off. Subscriptions are pro-rated for unused days on cancellation only when cancellation is initiated by us.
Late payments: invoices not paid within 30 days accrue 1.5% monthly interest. Site access, ongoing support, and hosting may be suspended after 60 days past due.

7. Intellectual property

Deliverables: On full payment, you own the final deliverable code, design files, and content created specifically for your project. You may use, modify, and redistribute it without restriction.

ANTHONY × VertaFlow retains: rights to non-client-specific code patterns, libraries, methodologies, and the right to display your project in our portfolio with screenshots and a high-level description (unless you opt out in writing within 30 days of project completion).

Third-party assets: any third-party fonts, stock images, or libraries used in your project remain under their original licenses (typically MIT, OFL, Unsplash License). We document these in a project license file.

Site content (these sites): All content on designedbyanthony.online, designedbyanthony.com, and vertaflow.io — copy, screenshots, design, code — is copyright Anthony Jones unless otherwise noted. You may not copy substantial portions for commercial use without written permission. Linking, quoting with attribution, and personal or educational reference are fine.

8. Acceptable use

Don't use these sites to:

Scrape, mirror, or systematically harvest content (the free checkup tools are capped at 30 requests per 60 seconds per visitor)
Submit URLs you don't own or have permission to scan
Send spam through any contact form
Test the security of the sites without prior written authorization (responsible disclosure to anthony@designedbyanthony.com is always welcome and never prosecuted)
Impersonate ANTHONY × VertaFlow or pretend to be a client

We may block IPs or accounts at our discretion to enforce this section.

9. Disclaimer of warranties

THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE PRIOR 12 MONTHS, OR (B) USD $500.
IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow these limitations; in those, they apply to the maximum extent permitted.

11. Indemnification

You agree to indemnify and hold ANTHONY × VertaFlow harmless from any claim arising out of:

Your use of the sites in violation of these terms
URLs you submitted for a site check-up that you did not own or have permission to scan
Content you provided for your project that infringes a third party's rights

12. Termination

We may suspend or terminate your access (free or paid) at any time for material breach of these terms. Paid subscriptions can be cancelled by either party with the notice defined in your signed engagement.

On termination of a paid engagement, we'll provide a final copy of your deliverables and remove your data per the retention schedule in our Privacy Policy.

13. Changes to these terms

We may update these terms. Material changes are announced via the cookie banner and an email to active customers if affected. Continuing to use the sites after a material change constitutes acceptance.

14. Governing law and disputes

These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Oneida County, NY. The prevailing party is entitled to reasonable attorneys' fees.

15. Severability

If any part of these terms is held unenforceable, the rest remains in effect.
